Forms 940 vs 941 vs 944 for Trucking Company Payroll

A carrier with W-2 drivers files at least two federal payroll returns a year, and the wrong form or quarter brings penalties. Form 941 is the quarterly return for federal income tax withheld plus Social Security and Medicare taxes, Form 944 is its annual version for the smallest employers the IRS has notified, and Form 940 is the annual FUTA return only the employer pays. Owner-operators paid on a 1099 are not reported on any of the three forms.
Here is Form 940 vs 941 vs 944 for a fleet.
Key takeaways Most fleets file Form 941 quarterly and Form 940 once a year. Form 944 needs an IRS written notice. The settlement pay date decides the quarter. |
Which Carrier Workers Land on Forms 940, 941 and 944
These returns cover employees only. Where that line falls is set out in what carriers owe on 1099 vs W-2 drivers.
W-2 company drivers, dispatchers and office staff are in.
An owner taking W-2 wages is in, a choice covered in how to pay yourself as an owner.
Owner-operators on a 1099 are out.
The IRS says you generally do not withhold or pay employment taxes on contractor payments. Their pay goes through filing 1099s for owner-operators, and their tax through quarterly estimated payments.
Form 940 vs 941 vs 944 Side by Side
Every fleet with W-2 staff lands in two rows, Form 940 plus Form 941 or 944. The last column is where general guides go quiet.
Form | What it reports | Who files | Frequency | Due date | Trucking note |
Form 940 | FUTA tax, employer-only | $1,500+ wages in any quarter, or 1+ employee in 20+ weeks | Annual | Feb 1, 2027 (Jan 31 is a Sunday), Feb 10 if FUTA deposited on time | Schedule A for multi-state drivers |
Form 941 | Income tax withheld plus both shares of Social Security and Medicare | Most employers with W-2 workers | Quarterly | Apr 30, Jul 31, Nov 2, Feb 1, 2027, plus 10 days if deposits on time | Pay date sets the quarter |
Form 944 | Same taxes as Form 941 | Only IRS-notified employers, $1,000 or less liability | Annual | Feb 1, 2027, Feb 10 if deposits on time | One year-round driver rules it out |
Form 941, the Quarterly Return Most Fleets File
For 2026, Social Security is 6.2% each for employee and employer on wages up to $184,500, per the SSA and the Form 941 instructions. Medicare is 1.45% each, with no wage cap.
Under IRS Topic 758, weekend due dates move to the next business day. The 2026 dates are April 30, July 31, November 2 (October 31 falls on a Saturday) and February 1, 2027, with 10 more days when every deposit was on time.
The settlement pay date sets the quarter
Liability arises when wages are paid, not when the pay period ends. A settlement for a week closing September 26 but paid October 2 goes on the Q4 Form 941.
Withholding comes out of the gross, as gross vs net settlement pay shows. Deposits go to the IRS by electronic funds transfer, separately from filing the return.
Form 941 vs 944 and Why Fleets Rarely Qualify
Form 944 is for employers with annual liability of $1,000 or less, and only after an IRS written notice. The Form 944 instructions put that at roughly $5,000 or less in wages, which one year-round company driver clears in weeks.
A notified filer still files Form 944 that year, even if liability ends up above $1,000.
For 2026, switching meant calling by April 1 or mailing a request postmarked by March 16.
The $2,500 deposit threshold is a separate number from the $1,000 eligibility test.
Form 940 vs 941, FUTA Is Annual and Employer-Paid
FUTA is paid only by the employer and is never withheld from a driver's paycheck. That is the cleanest split between the two returns.
Per IRS Topic 759, the rate is 6.0% on the first $7,000 of each employee's wages. A credit of up to 5.4% for state unemployment tax leaves a 0.6% net rate.
FUTA = $7,000 x 0.6% = $42 per employee per year.
Under the same IRS topic, deposit FUTA once the cumulative liability passes $500.
Drivers in more than one state
Schedule A (Form 940) is required if you paid wages in more than one state or in a credit reduction state, one that has not repaid federal unemployment loans.
For 2025, the DOL notice in the Federal Register set California at 1.2%. A California driver cost $7,000 x 1.8% = $126 instead of $42.
The extra counts as Q4 liability. DOL announces 2026 credit reduction states after November 10, so check before you file.
Corrections, Late Deposits and Stale Form Lines
Fix a filed return on Form 941-X or 944-X. Under the IRS failure-to-deposit penalty schedule, late deposits draw a 2% to 15% penalty.
Watch older guides. The qualified sick and family leave wage lines were removed for tax periods beginning after 2023.
Most errors start upstream. Payroll software for trucking companies settles who files, and paying drivers, dispatchers and office staff shows how roles differ.
Book withholding and the employer share to liability accounts in your trucking chart of accounts, then clear them as each deposit leaves the bank.
Before each quarterly return Tie total deposits to the return. Check early-quarter settlements. List every state drivers earned wages in. |
Where Fintruck Fits
Fintruck is AI-native accounting for trucking companies. It does not run payroll or file these returns, but its AI categorizes 75 to 80% of transactions, payroll tax debits included.
Each EFTPS deposit is matched through automated bank reconciliation, so deposits tie out before your provider files.
FAQs
Do I file Forms 940, 941 and 944 every year?
No. A typical carrier files Form 941 four times a year and Form 940 once. Form 944 replaces the 941s only after an IRS written notice.
Can I choose to file Form 944 instead of Form 941?
Only if annual liability will be $1,000 or less and the IRS approves. Without a written notice you keep filing Form 941.
Do owner-operators paid on a 1099 go on Form 941 or Form 940?
No. Contractors are not subject to withholding or FUTA, so their pay goes on Form 1099-NEC.
When is Form 941 due for the third quarter of 2026?
November 2, 2026, because October 31 falls on a Saturday. With every deposit on time, you have until November 10.
